The Kanzas company provides independent business valuation services in Ukraine: we determine the market value of companies, enterprises and going concerns — their assets, liabilities and capacity to generate income. A business valuation is required when an owner or investor faces a decision point: a sale or acquisition, debt or equity financing, restructuring, a shareholder exit, litigation, or a contribution of shares to the charter capital of a new entity.

Our team includes appraisers holding international valuation certificates, and our reports are prepared under Ukrainian national valuation standards in line with international valuation practice — a combination that works both for domestic transactions and for foreign parties with business interests in Ukraine.

When a company valuation is needed

Typical engagements include: mergers and acquisitions and pre-sale preparation; bank financing and collateral reviews; corporate disputes and court proceedings; withdrawal of a shareholder; planned share issues; liquidation or spin-off of assets; lease pricing for property complexes; and financial reporting purposes. Valuation methods and approaches

We apply the three approaches accepted in both Ukrainian and international practice: the income approach (with discounted cash flow as the base method), the asset-based approach (net asset accumulation), and the market approach (capital market and comparable transactions methods). The choice of approaches and methods depends on the specifics of the business and the market evidence available at the valuation date. For going concerns, Ukrainian National Valuation Standard No. 3 governs the methodology.

Information we will ask for

The core package includes: charter and registration documents; title documents; the business plan or capital expenditure programme, if available; financial statements for the previous 3–5 years; and a detailed breakdown of income and expenses. Depending on the engagement, we may also request audit reports, creditor schedules, market descriptions, real estate registers, group structure and subsidiary documents. Where full information cannot be provided, our appraisers rely on professional judgment, sector expertise and forecasting. A site visit — the appraiser's personal inspection and identification of the subject assets — is a mandatory stage of every engagement under Ukrainian valuation standards.

Track record

Business and enterprise valuation is one of the core practices of the Kanzas company: more than 200 completed engagements, with every appraiser in the team having at least 10 years of experience in this field — and most over 20 years. Our work includes the valuation of the assets of a major spirits industry enterprise, full-scope pre-sale preparation of a Ukrainian bank (including due diligence), and valuations of corporate rights in Ukrainian companies contributed to the charter capital of newly established US entities, with reports submitted to the US tax authorities.

Questions and answers

How long does a business valuation take? From several days for a small company to several months for a large enterprise with a complex asset structure. The timeline is agreed at the initial consultation stage.

How much does a business valuation cost? The fee depends on the size of the company, the complexity of its asset structure and the deadline. We provide a transparent calculation before the engagement letter is signed.

How long is the valuation report valid? As a standard, a business valuation report is used within 6 months of the valuation date; banks, courts or state authorities may require a more recent valuation date for specific purposes.
